The entity that began life as a research-focused nonprofit had since developed globe-spanning ambitions, with capital needs that stretched into the trillions of dollars. Its evolution into a capped-profit enterprise, constrained by an increasingly uncomfortable partnership with Microsoft, was no longer suited to the task. To realize its goals, the company would seek to shift the balance between its nonprofit and for-profit endeavors.</p><p style="margin: 0 0 1.5em 0; line-height: 1.6em; color: #15212A;">The plan was favored by OpenAI’s investors, who would see their previously capped returns gain newly unlimited upside. For the same reason it was popular among OpenAI employees, who would also reap the benefits of OpenAI’s growing valuation as it proceeds to a likely initial public offering. </p><p style="margin: 0 0 1.5em 0; line-height: 1.6em; color: #15212A;">But OpenAI’s plans also met unexpectedly strong resistance. Elon Musk, who had co-founded OpenAI and provided it with about $44 million in funding, <a href="https://www.platformer.news/r/c1dc706a?m=51418983-c335-42dc-b433-9fac3bd4e54a" style="overflow-wrap: anywhere; color: #2047FF; text-decoration: underline;" target="_blank"><u>filed a lawsuit</u></a> accusing the company of fraud and violating its charitable mission. Activists and <a href="https://www.platformer.news/r/4590ad62?m=51418983-c335-42dc-b433-9fac3bd4e54a" style="overflow-wrap: anywhere; color: #2047FF; text-decoration: underline;" target="_blank"><u>nonprofit groups</u></a> focused on AI safety, which included many <a href="https://www.platformer.news/r/af741aea?m=51418983-c335-42dc-b433-9fac3bd4e54a" style="overflow-wrap: anywhere; color: #2047FF; text-decoration: underline;" target="_blank"><u>former OpenAI employees</u></a>, argued that the conversion would weaken the safeguards on the company’s products and increase the risk of AI-related catastrophe.</p><p style="margin: 0 0 1.5em 0; line-height: 1.6em; color: #15212A;">Perhaps most dauntingly, OpenAI’s plans met resistance from the attorneys general of Delaware, where it is incorporated, and California, where it operates. Had the AGs opposed the conversion, the process could have been much more difficult.</p><p style="margin: 0 0 1.5em 0; line-height: 1.6em; color: #15212A;">And so, five months later, OpenAI <a href="https://www.platformer.news/r/74727e3f?m=51418983-c335-42dc-b433-9fac3bd4e54a" style="overflow-wrap: anywhere; color: #2047FF; text-decoration: underline;" target="_blank"><u>admitted partial defeat</u></a>. It would no longer seek to eliminate the oversight of its nonprofit board over the for-profit part of the organization. Instead, it would convert the for-profit into a public benefit corporation under the oversight of the nonprofit, while removing the profit caps and other organizational weirdness that increasingly hampered its ambitions.</p><p style="margin: 0 0 1.5em 0; line-height: 1.6em; color: #15212A;">Today, OpenAI said it had received approval from the AGs to complete its restructuring. “OpenAI has completed its recapitalization, simplifying its corporate structure,” OpenAI board chairman Bret Taylor said in <a href="https://www.platformer.news/r/c04e0e9c?m=51418983-c335-42dc-b433-9fac3bd4e54a" style="overflow-wrap: anywhere; color: #2047FF; text-decoration: underline;" target="_blank"><u>a blog post</u></a>. “The nonprofit remains in control of the for-profit, and now has a direct path to major resources before AGI arrives.”</p><p style="margin: 0 0 1.5em 0; line-height: 1.6em; color: #15212A;">Outside of OpenAI itself, the deal’s biggest beneficiary is arguably Microsoft. The company accepted a slightly smaller stake in the new entity — 27 percent, down from 32.5 percent in the old one — in exchange for ongoing access to OpenAI’s technologies and a revenue share. It can also now pursue artificial general intelligence independently of OpenAI; OpenAI, in turn, can build its own hardware products without asking for permission. </p><p style="margin: 0 0 1.5em 0; line-height: 1.6em; color: #15212A;">Here are <a href="https://www.platformer.news/r/ea1def26?m=51418983-c335-42dc-b433-9fac3bd4e54a" style="overflow-wrap: anywhere; color: #2047FF; text-decoration: underline;" target="_blank"><u>Brody Ford and Shirin Ghaffary in Bloomberg</u></a>:</p><blockquote style="margin: 0; padding: 0; border-left: #2047FF 2px solid; font-size: 17px; font-weight: 500; line-height: 1.6em; letter-spacing: -0.2px; color: #15212A;"><p style="line-height: 1.6em; margin: 2em 25px; font-size: 1em; padding: 0; color: #15212A;">Under the revised pact, Microsoft will get a stake in OpenAI worth about $135 billion, the companies said in a statement Tuesday. In addition, Microsoft will have access to the artificial intelligence startup’s technology until 2032, including models that achieved the benchmark of artificial general intelligence (AGI), a more powerful form of AI that most say does not exist yet.<br><br>Microsoft will also continue to be entitled to receive 20 percent of OpenAI’s revenue, according to people familiar with the matter, who spoke on condition of anonymity as the information is not public. But as part of the new pact, OpenAI can pay more later. In a blog post, the companies said a revenue share agreement remains in effect until an expert panel verifies AGI.</p></blockquote><p style="margin: 0 0 1.5em 0; line-height: 1.6em; color: #15212A;">“Both companies are better positioned than ever to continue building great products that meet real-world needs, and create new opportunity for everyone and every business,” Microsoft said in <a href="https://www.platformer.news/r/70757814?m=51418983-c335-42dc-b433-9fac3bd4e54a" style="overflow-wrap: anywhere; color: #2047FF; text-decoration: underline;" target="_blank"><u>a blog post</u></a>. </p><p style="margin: 0 0 1.5em 0; line-height: 1.6em; color: #15212A;">The biggest loser, on the other hand, is the new entity’s nonprofit parent. In its previous incarnation, it was the nonprofit that stood to capture all the value created by ChatGPT and OpenAI’s other products. Now it has been given equity valued at $130 billion; its initial $25 billion commitment would rank it high (but not No. 1) on <a href="https://www.platformer.news/r/814ef0db?m=51418983-c335-42dc-b433-9fac3bd4e54a" style="overflow-wrap: anywhere; color: #2047FF; text-decoration: underline;" target="_blank"><u>a list</u></a> of the world’s richest charitable foundations. In a live stream on Tuesday, CEO Sam Altman said that the nonprofit could be granted additional funding if OpenAI hits its revenue targets.</p><p style="margin: 0 0 1.5em 0; line-height: 1.6em; color: #15212A;">To me the most important question about the deal is what it means for how OpenAI is governed. It has now been just under two years since Altman was fired by the nonprofit board <a href="https://www.platformer.news/r/82a334db?m=51418983-c335-42dc-b433-9fac3bd4e54a" style="overflow-wrap: anywhere; color: #2047FF; text-decoration: underline;" target="_blank"><u>after a series of incidents that had undermined their trust in him</u></a>. In the wake of that incident, those board members left the organization, and were replaced by a docile group that has said nothing as the company has weathered a series of reputational blows related to its models’ sycophancy, promotion of delusions, lapses in child safety, and encouragement of emotional dependence. </p><p style="margin: 0 0 1.5em 0; line-height: 1.6em; color: #15212A;">Under the new arrangement, the nonprofit (which OpenAI calls the foundation) and the for-profit (OpenAI Group PBC, or “the group” for short) have different boards. Except that, at least for now, the boards are the same: the foundation board members appointed themselves to be the group board members. </p><p style="margin: 0 0 1.5em 0; line-height: 1.6em; color: #15212A;">The exception is Zico Kolter, a computer science professor at Carnegie Mellon University, who is a voting member of the foundation board but a non-voting observer on the group board. Kolter leads the foundation’s safety and security committee, and the California attorney general prohibited the chairman of that committee from serving on both boards. Rob Wiblin, host of the 80,000 Hours podcast and a <a href="https://www.platformer.news/r/765b4e38?m=51418983-c335-42dc-b433-9fac3bd4e54a" style="overflow-wrap: anywhere; color: #2047FF; text-decoration: underline;" target="_blank"><u>skeptic</u></a> of the conversion, <a href="https://www.platformer.news/r/d5c5eb18?m=51418983-c335-42dc-b433-9fac3bd4e54a" style="overflow-wrap: anywhere; color: #2047FF; text-decoration: underline;" target="_blank"><u>noted</u></a> that the memorandum of understanding with California gives Kolter (and his successors) veto power over future model releases.</p><p style="margin: 0 0 1.5em 0; line-height: 1.6em; color: #15212A;">The optimistic view of these changes is that pushback from activists and regulators resulted in a meaningful oversight mechanism being preserved within the nonprofit that runs OpenAI. The pessimistic view is that while the mechanism exists on paper, recent history suggests that this particular board takes a fairly hands-off approach to corporate governance. In one sense, yes, the nonprofit still runs the for-profit. But the board is stocked with entrepreneurs, including Altman and at least two people (Taylor and Adam D’Angelo) who run businesses that are customers of OpenAI. Is the nonprofit truly running the for-profit — or is it the other way around? </p><p style="margin: 0 0 1.5em 0; line-height: 1.6em; color: #15212A;">The new deal contains one more notable means of recourse. According to its <a href="https://www.platformer.news/r/0a11dcb6?m=51418983-c335-42dc-b433-9fac3bd4e54a" style="overflow-wrap: anywhere; color: #2047FF; text-decoration: underline;" target="_blank"><u>memorandum of understanding</u></a> with the AGs, the board of the public benefit corporation may “consider only the Mission (and may not consider the pecuniary interests of stockholders or any other interest) in respect of safety and security issues related to the OpenAI enterprise.” OpenAI has agreed not to put profits ahead of safety; should it fall short, it will at least be grounds for a lawsuit.</p><p style="margin: 0 0 1.5em 0; line-height: 1.6em; color: #15212A;">Last year, after an investigation cleared Altman of any wrongdoing and put the story of his firing to rest, I made the case that, usually, <a href="https://www.platformer.news/r/54731858?m=51418983-c335-42dc-b433-9fac3bd4e54a" style="overflow-wrap: anywhere; color: #2047FF; text-decoration: underline;" target="_blank"><u>Sam Altman gets what he wants</u></a>. In the case of OpenAI’s for-profit conversion, the picture is more mixed. Altman now has a workable corporate structure, a pliant board, and a clear set of rules to follow. But — at least as written — Altman now also has a meaningful set of constraints. Should OpenAI continue down <a href="https://www.platformer.news/r/6eeb308d?m=51418983-c335-42dc-b433-9fac3bd4e54a" style="overflow-wrap: anywhere; color: #2047FF; text-decoration: underline;" target="_blank"><u>its recent path of Facebook-ification</u></a>, launching first and asking questions later, legal jeopardy could follow. </p><p style="margin: 0 0 1.5em 0; line-height: 1.6em; color: #15212A;">For everything that’s changing at OpenAI, there remains a structure in place to hold the company’s leadership accountable. Afterward, the duo took the rare step of fielding user questions live. Altman said he chose the questions that received the most votes on its polling tool, and the result was a fascinating glimpse into the desires and frustrations of the ChatGPT user base — which often differed substantially from concerns raised by policymakers and journalists. </p><p style="margin: 0 0 1.5em 0; line-height: 1.6em; color: #15212A;">Users pelted Altman with questions begging him to keep making the company's GPT-4o model available; to loosen restrictions on adult content; and to allow for—or even encourage — users to engage in intimate, emotional, and therapeutic conversations with <strong style="font-weight: 700;">ChatGPT</strong>.</p><p style="margin: 0 0 1.5em 0; line-height: 1.6em; color: #15212A;">Altman struck a conciliatory tone in his answers, telling users that he heard their concerns and would work to meet as many of their needs as he could. “We want people to have models that they want to use,” Altman said, in promising to keep 4o online for the foreseeable future.</p><p style="margin: 0 0 1.5em 0; line-height: 1.6em; color: #15212A;">Many of the questions chosen carried a hostile tone. “Will you commit to revoking this paternalistic policy for all consenting adult users and stop treating us like children?” one commenter asked. “When do users get control over routing? Where's the transparency on safety and censorship? Why can't adults pick their own models?”</p><p style="margin: 0 0 1.5em 0; line-height: 1.6em; color: #15212A;">Other users expressed interest in emotional bonding with the models. “Will the December update officially clarify OpenAI's position on human-AI emotional bonds, or will restrictions continue,” one commenter asked, “implicitly defining such connections as harmful worldwide?”</p><p style="margin: 0 0 1.5em 0; line-height: 1.6em; color: #15212A;">Altman said OpenAI doesn’t have an official stance. “If you want to have, like, a small-r relationship, and you're getting something like empathy or friendship,” out of the model, and “you as the user are finding value in that support, again, we think that's awesome.”</p><p style="margin: 0 0 1.5em 0; line-height: 1.6em; color: #15212A;">One commenter requested a feature “that allows users to opt out of the safety route, or a waiver that could be signed, releasing OpenAI from any liability.”</p><p style="margin: 0 0 1.5em 0; line-height: 1.6em; color: #15212A;">This idea gave Altman pause. “Again, we're not going to do the equivalent of selling heroin or whatever, even if you sign a liability [waiver].”</p><p style="margin: 0 0 1.5em 0; line-height: 1.6em; color: #15212A;">But he affirmed the request to give users more freedom. “Yes, on the principle of 'treat adult users like adults.'” Altman said. “If you're age verified, you will get quite a lot of flexibility.”</p><p style="margin: 0 0 1.5em 0; line-height: 1.6em; color: #15212A;">Although only about half of the questions Altman and Pachoki answered touched on the above themes, almost all the most upvoted user questions came from people looking to remove safeguards on the product, discuss 4o, or discuss emotional bonds with models. The site, which looks just like Wikipedia if it were in dark mode, boasts more than 800,000 AI-generated entries, compared with Wikipedia’s nearly 8 million human-written ones. </p><p style="margin: 0 0 1.5em 0; line-height: 1.6em; color: #15212A;">A disclosure on top of entries say they were fact-checked by <strong style="font-weight: 700;">Grok</strong>, with all the rigor and quality that implies. (Casey's Grokipedia page states, falsely but amusingly, that he is married to a lawyer.) On Musk’s own Grokipedia page, under the section outlining his <strong style="font-weight: 700;">DOGE</strong> tenure, it claims <strong style="font-weight: 700;">Vivek Ramaswamy</strong> assumed “a more prominent role” at the department after Musk left in May. Ramaswamy had left the group before it even became part of the <strong style="font-weight: 700;">Trump administration</strong> in January.</p><p style="margin: 0 0 1.5em 0; line-height: 1.6em; color: #15212A;">Many entries appear to have a right-leaning framing. In its entry on slavery in the US, Grokipedia <a href="https://www.platformer.news/r/d82a1a7b?m=51418983-c335-42dc-b433-9fac3bd4e54a" style="overflow-wrap: anywhere; color: #2047FF; text-decoration: underline;" target="_blank"><u>includes</u></a> numerous “ideological justifications.” Its entry on LGBTQ people cites a claim about transgender youth by the <strong style="font-weight: 700;">Society for Evidence-based Gender Medicine</strong>, which was designated by the <strong style="font-weight: 700;">Southern Poverty Law Center</strong> as an anti-LGBT hate group in 2023. </p><p style="margin: 0 0 1.5em 0; line-height: 1.6em; color: #15212A;"><strong style="font-weight: 700;">Why we’re following: </strong>Musk and other right-wing figures have <a href="https://www.platformer.news/r/815a8de7?m=51418983-c335-42dc-b433-9fac3bd4e54a" style="overflow-wrap: anywhere; color: #2047FF; text-decoration: underline;" target="_blank"><u>long accused</u></a> Wikipedia of having liberal bias, and has called for people to “stop donating to Wokepedia.” Following several reports by right-leaning organizations, <strong style="font-weight: 700;">Republicans</strong> in the <strong style="font-weight: 700;">House</strong> <a href="https://www.platformer.news/r/c24ce4a9?m=51418983-c335-42dc-b433-9fac3bd4e54a" style="overflow-wrap: anywhere; color: #2047FF; text-decoration: underline;" target="_blank"><u>opened a probe</u></a> into alleged organized bias in entries in August. Republican Sen. <strong style="font-weight: 700;">Ted Cruz</strong> similarly <a href="https://www.platformer.news/r/20d8408d?m=51418983-c335-42dc-b433-9fac3bd4e54a" style="overflow-wrap: anywhere; color: #2047FF; text-decoration: underline;" target="_blank"><u>sent</u></a> a letter to the <strong style="font-weight: 700;">Wikimedia Foundation</strong> in October accusing the site of “left-wing bias,” citing dubious sources. To state the obvious: Wikipedia can have whatever political bias it likes, under the First Amendment. (As can Grokipedia, for that matter.)</p><p style="margin: 0 0 1.5em 0; line-height: 1.6em; color: #15212A;"><strong style="font-weight: 700;">What people are saying: Jay Peters</strong> at <em>The Verge</em> <a href="https://www.platformer.news/r/2e7cda8a?m=51418983-c335-42dc-b433-9fac3bd4e54a" style="overflow-wrap: anywhere; color: #2047FF; text-decoration: underline;" target="_blank"><u>pointed out</u></a> that some entries appear to be plagiarized word for word from Wikipedia. “Even Grokipedia needs Wikipedia to exist,” <strong style="font-weight: 700;">Lauren Dickinson</strong>, a spokesperson for the Wikimedia Foundation, told <em>The Verge</em>.</p><p style="margin: 0 0 1.5em 0; line-height: 1.6em; color: #15212A;">“To even call it a Wikipedia competitor is to give the half-assed project too much credit. It is not a Wikipedia 'competitor; at all.
